Terms of service

These terms govern your use of PersonaMesh's hosted services, the Studio, the docs, the APIs, and the SDKs ("Service"). By using the Service you agree to these terms.

Your account

You must be at least 16 years old. You're responsible for safeguarding your credentials. You may not let anyone else use your account, you may not let anyone else's persona impersonate a real person without that person's verified consent, and you may not use the Service to violate any law or third-party rights.

Acceptable use

• No deception of users about whether they're interacting with a person or an AI agent. Personas must disclose AI status when asked, and by default also at the start of any interaction with new users (configurable).
• No impersonation of a real, identifiable person without that person's documented and ongoing consent.
• No scraping the Service to train competing model providers.
• No CSAM, malware distribution, harassment, or content that would violate the law in either party's jurisdiction.
• No abusive load patterns; respect the rate limits described in your plan. Egress from tools must respect the persona's declared allowlist.

Your content

You retain ownership of personas, memories, knowledge documents, and conversations ("Content") you submit. You grant us a limited license to host, process, and display Content as necessary to provide the Service. We do not use your Content to train any foundation models.

Our service

We provide the Service "as is." We make commercially reasonable efforts to meet the SLOs published with your plan, but we do not warrant that the Service will be uninterrupted or error-free, and we are not liable for losses caused by model providers, network outages, or your own configuration choices (including tool egress allowlists, budget caps, and safety classifier selections).

Fees, plans, and refunds

Paid plans bill in advance per the plan you choose; metered usage (tokens, tool calls, autonomy ticks) bills monthly in arrears. Plan changes take effect at the start of the next billing cycle. Pre-paid amounts are non-refundable except where required by law; metered overages are payable on the invoice that follows them.

Termination

Either party may terminate at any time; you may delete your workspace via the API or Studio. We may suspend the Service if you materially breach these terms or if your usage endangers other customers. We retain Content for 30 days post-termination to support accidental-delete recovery, then permanently delete it.

Limitation of liability

To the maximum extent permitted by law, our aggregate liability under these terms will not exceed the fees you paid in the 12 months preceding the claim. Neither party will be liable for indirect, incidental, special, or consequential damages.

Governing law

These terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles. Disputes will be resolved in the state or federal courts located in Delaware. Enterprise customers with a separately signed master agreement operate under that agreement to the extent it conflicts.

Changes

We'll post material changes to these terms at least 30 days in advance and notify workspace owners by email. Continued use after the effective date constitutes acceptance.
